1. Acceptance of Terms

By accessing or using the Preclr platform, website, and related services (“Services”) operated by JobinX LLC (“Preclr,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services. If you are using the Services on behalf of a medical practice or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Services

Preclr provides a platform that enables medical practices to search publicly available court records for patient litigation history. The platform aggregates, organizes, and presents public court data in a searchable format. Preclr is an information tool and does not provide legal advice, medical advice, or recommendations regarding patient care decisions.

3. Account Registration

To use Preclr, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Preclr reserves the right to suspend or terminate accounts that violate these terms.

You may use Preclr only for lawful purposes related to the operation of your medical practice. Specifically, you agree to:

5. Subscription and Billing

Preclr offers subscription plans billed monthly or annually. By selecting a plan, you authorize us to charge the applicable fees to your designated payment method. Annual plans are billed upfront for the full year. Monthly plans are billed on a recurring monthly basis. You may change or cancel your plan at any time. Cancellations take effect at the end of the current billing period. Refunds are provided in accordance with our refund policy. Preclr reserves the right to modify pricing with 30 days advance notice. If you add additional offices to your Practice plan during an annual billing cycle, the new office will be billed at the annual rate, prorated for the remaining months in your current cycle.

6. Search Limits

Each subscription plan includes a specified number of patient searches per month. Searches that exceed your plan's limit may be subject to additional charges or may be queued until the next billing cycle. Unused searches do not roll over between billing periods.

7. Intellectual Property

The Preclr platform, including its design, code, features, documentation, and branding, is the intellectual property of JobinX LLC and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during the term of your subscription.

Your use of Preclr is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy. You are responsible for ensuring that your use of patient data obtained through Preclr complies with all applicable privacy and data protection laws.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. COURT RECORD DATA MAY CONTAIN ERRORS, OMISSIONS, OR OUTDATED INFORMATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECLR AND JOBINX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Preclr, JobinX LLC, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these terms, or your violation of any applicable law.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these terms, non-payment, or any other reason at our discretion with reasonable notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the Services shall be resolved in the state or federal courts located in Dallas County, Texas.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated terms and updating the “Last updated” date. Your continued use of the Services after changes constitutes acceptance.
